1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you") and Borne Systems ("Company," "we," "our," "us") governing your access to and use of the website bornesystems.com and all related services, including our automation tools, voice agents, social management systems, and infrastructure security platforms.
By accessing or using our services, you agree to be bound by these Terms. If you do not agree to any part of these Terms, you must discontinue use of our services immediately.
2. Description of Services
Borne Systems provides automation and integration services including, but not limited to:
- Voice Automation: Intelligent voice agents for customer support, appointment booking, and call routing.
- Social Management: Automated social media monitoring, engagement, and community management tools.
- Infrastructure Security: Automated security auditing, access control management, and threat mitigation systems.
- Custom Automation: Tailored automation systems designed to meet specific business requirements.
SMS Messaging Terms
Borne Systems LLC operates an SMS messaging program to send appointment reminders, missed call follow-ups, lead confirmations, and service updates. By opting in to receive SMS messages from us, you agree to the following:
- Message frequency varies based on your service plan
- Message and data rates may apply
- To opt out, reply STOP to any message

Consent to receive SMS messages is not a condition of purchasing any services.
3. Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use our services. If you are accessing our services on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms.
4. User Accounts
Certain features of our services may require you to create an account. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access or security breach
- Ensuring all account information is accurate and up-to-date
We reserve the right to suspend or terminate accounts that violate these Terms.
5. Acceptable Use
You agree not to use our services to:
- Violate any applicable laws, regulations, or third-party rights
- Transmit malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to our systems or networks
- Engage in any activity that disrupts or interferes with our services
- Scrape, mine, or extract data without explicit authorization
- Use our voice agents or automation systems for deceptive, fraudulent, or harmful purposes
- Reverse engineer, decompile, or disassemble any aspect of our services
6. Intellectual Property
All content, features, and functionality of our services — including but not limited to text, graphics, logos, software, models, and proprietary algorithms — are owned by Borne Systems and are protected by intellectual property laws.
You are granted a limited, non-exclusive, non-transferable license to access and use our services for their intended purpose. This license does not include the right to reproduce, distribute, modify, or create derivative works from our intellectual property without express written consent.
7. Client Data and Automated Processing
When you use our automation services, you retain ownership of all data you provide ("Client Data"). By using our services, you grant us a limited license to process your Client Data solely for the purpose of providing and improving our services.
We commit to the following regarding your Client Data:
- Client Data will not be used to train models for other clients
- Data is processed using localized, siloed instances
- All processing adheres to our zero-trust architecture principles
- Data can be deleted upon written request and contract termination
8. Service Availability
We strive to provide reliable, uninterrupted services but do not guarantee 100% uptime. Services may be temporarily unavailable due to:
- Scheduled maintenance (with advance notice when possible)
- Emergency security updates
- Factors beyond our reasonable control (force majeure)
We will make commercially reasonable efforts to minimize downtime and communicate any service interruptions promptly.
9. Payment Terms
Services are billed monthly. Fees are outlined in your individual service agreement. Unless otherwise stated:
- All fees are quoted in USD and are non-refundable
- Payment is due upon invoice or as specified in your contract
- Late payments may incur interest at the rate of 1.5% per month
- We reserve the right to suspend services for overdue accounts
- Cancellation can be requested at any time by contacting [email protected]
10. Limitation of Liability
To the maximum extent permitted by applicable law, Borne Systems shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of our services.
Our total aggregate liability for any claims arising from or related to these Terms or our services shall not exceed the total fees paid by you to Borne Systems in the twelve (12) months preceding the claim.
11. Disclaimer of Warranties
Our services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that our voice agents and automation systems will be error-free, that results will be accurate in all cases, or that the services will meet all of your specific requirements without customization.
12. Indemnification
You agree to indemnify, defend, and hold harmless Borne Systems, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:
- Your use or misuse of our services
- Your violation of these Terms
- Your violation of any third-party rights
- Any Client Data you provide to our systems
13. Termination
Either party may terminate this agreement with 30 days written notice. We may terminate or suspend your access immediately, without prior notice, if:
- You breach any provision of these Terms
- We are required to do so by law
- Your use poses a security risk to our systems or other users
Upon termination, your right to use our services ceases immediately. Provisions that by their nature should survive termination (including limitation of liability, indemnification, and intellectual property) shall remain in effect.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Connecticut, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
15. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated through our website or via email to registered users. Your continued use of our services after the effective date of modified Terms constitutes acceptance of the changes.
